Slate Planner Terms of Service
Current service status. Slate Planner is under active development. Eligible users may create accounts and use Slate Free or subscribe to Slate Pro. Slate Free includes the complete planning method. Slate Pro adds custom recurring reminders, spoken reminders, support, access to new Pro features as they are released, and cloud backup, cross-device sync, and cloud restore for supported planner data. Slate Pro web subscriptions are purchased through Paddle.
1. About these Terms
These Terms of Service ("Terms") govern your access to and use of the Slate Planner website at slateplanner.io and the current Slate Planner web application, progressive web application, or mobile application ("Slate," the "Service," or the "Services").
In these Terms, "Slate," "we," "us," and "our" mean Anne Valerie Imbao, operating as Slate Planner. "You" means the person using the Services.
By accessing or using Slate, you agree to these Terms and our Privacy Policy. Our Refund Policy applies to Slate Pro web subscriptions purchased through Paddle.
If you do not agree to these Terms, do not use Slate.
2. Eligibility
Slate is intended for users aged 18 and older. You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
Slate is not directed to children. If we learn that a person under 18 has provided personal information through a Slate-operated service, we may take appropriate steps to remove that information, subject to applicable legal, security, and record-retention requirements.
A parent or guardian who believes a minor has provided personal information through Slate may contact slateplanner.support@gmail.com.
3. What Slate Provides
Slate is a local-first productivity and planning application. It may help you organize Timeblocks, Journeys, tasks, Plans, Dates, Memos, routines, links, reminders, and related planning information, and may surface actions that appear relevant based on the information and preferences available to it.
Slate is a planning aid. It is not an emergency-response system, medical device, legal deadline service, guaranteed alarm, financial-advice service, medical-record system, or substitute for professional advice. You remain responsible for your decisions, deadlines, safety, and use of information shown by Slate.
4. Active Development
Slate is actively maintained and improved. Features may be updated, replaced, restricted, or removed as the product evolves.
Slate accounts, Slate Free, and Slate Pro are currently available.
The binding subscription price, billing currency, renewal term, and other purchase conditions are shown at checkout.
5. Local-First Storage and Your Backups
Slate Free stores planner information primarily on the device and browser you use. Slate may use browser technologies such as local storage, IndexedDB, Cache Storage, and service workers to save planner state, task attachment data, preferences, offline resources, and PWA functionality. Slate Pro transfers supported planner data to Slate's cloud services for automatic backup, cross-device sync, and cloud restore.
Local data can be affected by clearing site or browser data, changing browser profiles, uninstalling or resetting the PWA, device loss or damage, factory reset, storage corruption, unsupported software, or other events outside Slate's control.
You are encouraged to use Slate's available export tools and keep a separate backup of information that would be difficult or impossible to replace.
Reset/delete-data controls and account deletion are separate processes. See Slate's current account-deletion instructions for the available account-deletion process.
6. Task Attachments and Exports
Task attachment files are stored locally in browser storage associated with the device/browser profile. Production cloud transfer, cloud backup, cross-device sync, and cloud restore of task attachment files are not currently available. Slate Pro cloud features apply only to supported planner data.
Where Slate offers a complete local export, that export may include locally stored task attachment files referenced by the current workspace. You are responsible for protecting exported files after they are downloaded to your device.
Some file-like entries or links used in Plans may be references or metadata rather than durable uploaded file storage. Do not assume that every file reference shown in Slate is independently backed up unless Slate expressly says so.
7. Share-to-Slate and External Links
Slate may support operating-system or browser sharing into the app. When you use a Share-to-Slate feature, shared title, text, or URL information may be passed to Slate through a navigation request and may be temporarily present in browser history, application state, or PWA cache storage.
Slate may also let you save or open external links, map links, meeting links, or other user-provided resources. Opening an external link may send information to the destination service under that service's own terms and privacy practices.
A third-party link does not necessarily mean Slate owns, controls, recommends, or endorses the destination.
8. Notifications
Slate may provide browser, PWA, device, or spoken reminder functionality where supported and permitted by your device, browser, and operating system.
Notifications may be delayed, duplicated, suppressed, or not delivered because of browser or operating-system restrictions, permissions, battery settings, network availability, timezone or clock settings, PWA state, or other technical conditions.
Do not rely solely on Slate for emergencies, medical treatment, safety-critical actions, legal or regulatory deadlines, financial payments, travel, appointments, or any other matter where a missed or delayed notification could cause material harm or loss.
Some reminder features may depend on account status, Slate Pro entitlement, browser or operating-system permissions, device capabilities, and background-execution limits.
9. Feedback and Support
Slate may offer an in-app feedback feature or support channel. If you choose to submit feedback, you may provide a message, optional contact details, screenshots, files, or technical information.
Do not send passwords, authentication codes, complete payment-card information, private keys, banking credentials, or more private planner information than is reasonably necessary to explain the issue.
Private planner content, support screenshots, and files submitted only to diagnose a problem remain subject to the Privacy Policy. They do not automatically become public content.
You may voluntarily provide suggestions, ideas, comments, ratings, feature requests, or other product feedback ("Feedback"). You retain any rights you have in Feedback. By submitting it, you grant Slate and its operator a worldwide, perpetual, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable, and, to the extent permitted by law, irrevocable licence to use, reproduce, modify, adapt, combine, develop, commercialize, and incorporate the Feedback into Slate and related products or services.
We are not required to implement Feedback, compensate or credit you, or treat ordinary product suggestions as confidential unless we agree otherwise in writing.
10. Accounts, Slate Free, and Slate Pro
Slate provides account-based access under the following model:
- Slate Free: the complete Slate planning method, local/offline use, and the Free features described on the current pricing page;
- Slate Pro: custom recurring reminders, spoken reminders, support, access to new Pro features as they are released, and cloud backup, cross-device sync, and cloud restore for supported planner data.
Pro cloud features apply only to supported planner data. For task attachment files, cloud transfer, cloud backup, cross-device sync, and cloud restore are not currently available.
Slate may update plan features as the Service evolves, subject to these Terms, the Privacy Policy, applicable purchase terms, and rights that cannot lawfully be excluded.
11. Slate Pro Pricing and Founding Annual
Slate Pro is offered at:
- US$4.99/month, and
- US$29.99/year (Founding Annual)
Regional pricing may apply at checkout.
The binding price, billing currency, billing period, and renewal terms are shown at checkout.
An eligible Founding Annual subscriber keeps the recurring annual price assigned to that subscription while it remains continuously active. Cancelling, allowing the subscription to expire, or switching away from the eligible annual subscription may end founding-price eligibility.
12. Paddle Purchases and Refunds
Slate uses Paddle as Merchant of Record for Slate Pro web subscriptions.
Google Play does not process Slate Pro subscription billing. Slate's Google Play distribution is consumption-only; Slate Pro subscriptions are purchased through Paddle's web checkout.
Paddle operates web checkout, collects payment, manages recurring billing, provides transaction records and invoices, handles applicable transaction taxes and certain fraud or chargeback processes, and processes approved refunds under Paddle's own terms and policies.
The Refund Policy published on slateplanner.io applies to Slate Pro web purchases.
13. Your Content
You retain any ownership and other rights you have in the Journeys, tasks, Timeblocks, Plans, Dates, Memos, routines, attachments, links, and other information or materials you create, enter, upload, or store through Slate ("User Content").
To operate the Services, you grant Slate a limited, non-exclusive, worldwide, royalty-free licence to store, reproduce, transmit, process, technically modify, display, back up, restore, and otherwise handle User Content solely as reasonably necessary to provide, maintain, secure, support, and improve the Services, comply with lawful obligations, and exercise our rights under these Terms. This licence applies only to User Content Slate actually receives or processes and does not represent that every content type is eligible for cloud transfer, backup, sync, or restore.
This licence does not transfer ownership of User Content to Slate.
Planner content is private by default. Slate does not claim the right to publicly display, sell, or license your private planner content to advertisers. Slate will not use private planner content to train artificial-intelligence models unless you have separately and explicitly agreed to that use.
You represent that you have the rights and permissions needed to submit User Content and that your content and use of the Services do not violate applicable law or another person's rights.
14. Information Slate Is Not Designed to Store
Slate is not designed to function as a password manager, identity-document vault, payment-card vault, medical-record system, emergency-response service, or secure repository for cryptographic keys, authentication codes, banking credentials, or similar highly sensitive secrets.
Do not store passwords, verification codes, complete card numbers, online-banking credentials, private keys, API secrets, full identity documents, or information you are legally prohibited from possessing or sharing.
Ordinary planner entries such as "book a doctor appointment" or "pay credit card" are not prohibited. The restriction concerns credentials, full regulated records, and secrets requiring specialized protection.
15. Acceptable Use
You must use Slate lawfully, responsibly, and in accordance with these Terms. You must not:
- violate applicable law or facilitate unlawful activity;
- infringe another person's intellectual-property, privacy, confidentiality, publicity, contractual, or other rights;
- distribute malware, destructive code, or harmful technology;
- interfere with, damage, overload, disrupt, probe, or compromise Slate or supporting systems;
- conduct abusive automated activity, scraping, crawling, bulk extraction, or excessive requests that impose an unreasonable burden;
- bypass or attempt to bypass security, authentication, payment, entitlement, or usage controls;
- use stolen, false, fraudulent, or unauthorized payment or account information;
- sublicense, resell, rent, white-label, or commercially distribute access to Slate without written permission; or
- reverse engineer, decompile, disassemble, or attempt to derive non-public source code, except to the extent such a restriction is prohibited by applicable law.
Good-faith security reports may be sent to slateplanner.support@gmail.com.
16. Slate Materials and Intellectual Property
Except for User Content and Third-Party Materials, Slate and its operator or licensors retain all rights, title, and interest in the Services and materials made available through them, including applicable rights in software, source and object code, interfaces, original visual designs, graphics, documentation, written content, databases and arrangements, brand elements, websites, technical systems, updates, and improvements ("Slate Materials").
Slate Materials may be protected by copyright, trademark, design, trade-secret, contract, and other applicable laws. No ownership right in Slate Materials is transferred to you.
These Terms do not claim ownership of general ideas, principles, methods, systems, procedures, productivity concepts, or other matters that are not legally protectable merely because Slate describes or implements them.
Slate Planner, the Slate logo, and related brand elements are names, logos, and identifiers used by the operator and may be protected under applicable law. Slate does not claim that the mark is registered unless and until registration supports that claim.
17. Licence to Use Slate
Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use Slate on supported devices for lawful personal or internal business purposes.
This licence permits ordinary product functionality, including installing or caching the PWA where supported, using local and offline features, and exporting your own planner data.
Except where these Terms or applicable law expressly permit it, you may not copy, modify, distribute, sell, rent, sublicense, white-label, republish, commercially exploit, or create an unauthorized hosted version of Slate or Slate Materials. You may not remove proprietary notices, use Slate branding as your own, impersonate Slate, falsely imply sponsorship or endorsement, or use Slate Materials to create a confusingly similar service.
18. Third-Party Materials and Services
Slate may include open-source software, fonts, libraries, software-development kits, content, or other materials supplied by third parties ("Third-Party Materials"). Those materials remain subject to the rights, licences, and notices of their respective owners.
Where a third-party licence gives you rights regarding a particular component that conflict with these Terms, that third-party licence controls regarding that component.
Third-party services may also be used to provide hosting, fonts, maps, links, feedback, notifications, or other functionality. Your use of a third-party service may be governed by that provider's own terms and privacy policy.
Third-party involvement does not exclude or reduce Slate's responsibility for its own actions, promises, security obligations, or duties that cannot lawfully be excluded.
19. Service Availability, Recommendations, and Changes
We aim to keep Slate reliable and available, but the Services may be interrupted, delayed, restricted, or unavailable because of maintenance, updates, faults, security incidents, third-party services, network conditions, device limitations, or events outside our reasonable control.
We do not guarantee that Slate will always be uninterrupted, error-free, or compatible with every device, browser, operating system, configuration, or third-party service.
You remain responsible for deciding whether any surfaced action is appropriate, safe, current, and suitable. Slate does not guarantee that you will complete any task, achieve any goal, improve productivity, maintain a routine, obtain a particular result, or avoid missed obligations.
We may update, improve, replace, restrict, or discontinue parts of the Service as the product, technology, law, security environment, and user needs evolve.
20. Suspension and Access Restrictions
We may restrict access to the website, accounts, support channels, or other Slate-operated services where reasonably necessary to investigate suspected fraud, abuse, unauthorized access, security threats, unlawful activity, material Terms violations, or legal requirements.
Where practicable, we will provide notice and a reasonable opportunity to resolve a correctable, non-urgent issue. We may act without prior notice where immediate action is reasonably necessary to prevent harm, protect users or systems, comply with law, or address serious fraud or security risk.
Because Slate is local-first, restricting online or account access does not necessarily erase planner data already stored on your device.
21. Warranties, Mandatory Rights, and Limitation of Liability
To the fullest extent permitted by law, Slate is provided on an "as available" basis. We do not make guarantees beyond those expressly stated in these Terms or required by law.
Nothing in these Terms excludes or limits any consumer-protection, privacy, refund, warranty, quality, security, or other right or remedy that cannot lawfully be excluded or limited.
Subject to that qualification and to the fullest extent permitted by law, Slate and its operator will not be liable for indirect, incidental, special, punitive, exemplary, or consequential loss or damage, or for loss of profits, revenue, business opportunity, anticipated savings, goodwill, reputation, or data, arising out of or relating to the Services.
Slate is not responsible to the extent loss or damage results from your deletion or clearing of local storage, failure to maintain an available export or backup, use of unsupported technology, reliance on Slate as the sole safeguard for a critical obligation, violation of these Terms, or circumstances outside our reasonable control.
These exclusions do not apply to the extent Slate's own breach, negligence, unlawful processing, fraud, wilful misconduct, or other legally actionable conduct caused or materially contributed to the loss.
To the fullest extent permitted by law, Slate's and its operator's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:
- the total Slate Pro subscription fees you paid during the 12 months immediately preceding the event giving rise to the claim; or
- US$100, or its equivalent in the currency in which you were charged.
For users who have not purchased Slate Pro, the US$100 minimum applies where this cap is legally enforceable.
The exclusions and cap do not apply to fraud or fraudulent misrepresentation; wilful misconduct; liability for death or personal injury where it cannot lawfully be limited; privacy or personal-data liability that cannot lawfully be restricted; mandatory consumer remedies; or any other liability that law does not permit us to exclude or limit.
22. Contact, Complaints, and Governing Law
Slate Planner is operated by Anne Valerie Imbao in the Philippines.
For a question, complaint, privacy request, or dispute, contact:
- Email: slateplanner.support@gmail.com
- Website: https://slateplanner.io
We will review complaints in good faith and respond within a reasonable period.
These Terms and your use of Slate are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles, to the extent permitted by applicable law.
If you use Slate as a consumer, this governing-law provision does not deprive you of mandatory consumer-protection, privacy, refund, warranty, or other rights that apply to you and cannot lawfully be excluded or restricted.
Before beginning formal proceedings, we encourage you to contact us and allow a reasonable opportunity to resolve the issue informally. This does not apply where urgent relief is reasonably required, a legal time limit may expire, or applicable law permits direct action.
Any unresolved dispute may be submitted to a court, tribunal, regulator, online dispute-resolution service, or other authority having jurisdiction under applicable law. These Terms do not require mandatory private arbitration.
23. Changes to These Terms
We may update these Terms to reflect changes in the Services, account or subscription lifecycle, law, security practices, providers, or business operations.
If a change is material, we will provide reasonable notice through Slate, email, the website, or another appropriate channel before it takes effect where required or practicable.
We may update these Terms and the Privacy Policy to describe material changes to accounts, checkout, paid entitlements, cloud services, retention practices, or other data flows.
The effective date above identifies the current version.
